This Cancellation, Refund, and Contract Termination Policy ("Policy") governs the cancellation of services, refund eligibility, and termination of contracts entered into between ZupeeSoft Technologies LLP ("Company", "we", "our", or "us") and its clients, customers, subscribers, and users ("Client", "Customer", "you", or "your").

By purchasing, subscribing to, or using any service provided by ZupeeSoft Technologies LLP, you agree to be bound by this Policy.


1. Scope

This Policy applies to all services and products offered by ZupeeSoft Technologies LLP, including but not limited to:

  • Software Development Services
  • Web Application Development
  • Mobile Application Development
  • SaaS (Software as a Service) Platforms
  • ERP, CRM, and Management Systems
  • Hostel Management Systems
  • API Integration Services
  • Cloud Hosting and Deployment Services
  • Website Design and Development
  • Software Maintenance and Support Services
  • Digital Products and Licenses
  • Consulting and Technical Advisory Services

2. Cancellation Policy

2.1 Service Cancellation by Client

A Client may request cancellation of a service, project, subscription, or agreement by providing written notice via email or other approved communication channels.

Cancellation requests shall become effective only upon written acknowledgment by the Company.

Project-Based Services

For custom software development, implementation, integration, consulting, or project-based services:

  • Cancellation requests received after project commencement shall not entitle the Client to a full refund.
  • The Client shall remain liable for all work completed, resources allocated, and expenses incurred up to the date of cancellation.
  • Any project deliverables completed or partially completed prior to cancellation shall remain payable.

Subscription-Based Services

For SaaS and recurring subscription services:

  • Clients may cancel future renewals at any time.
  • Cancellation shall not affect the current billing cycle.
  • Access shall continue until the end of the paid subscription period unless otherwise stated.

2.2 Cancellation by the Company

ZupeeSoft Technologies LLP reserves the right to suspend, discontinue, or cancel any service where:

  • The Client breaches any agreement, policy, or applicable law.
  • Payment obligations remain unpaid beyond the due date.
  • The Client engages in fraudulent, abusive, illegal, or unauthorized activities.
  • Continued provision of services becomes technically, commercially, or legally impracticable.
  • Required cooperation, approvals, or information are not provided by the Client.

The Company shall not be liable for any losses arising from such cancellation.


3. Refund Policy

3.1 General Principle

Due to the nature of software development, digital services, consulting services, and intellectual property creation, all payments made are generally non-refundable unless expressly agreed in writing.


3.2 Non-Refundable Payments

The following payments are strictly non-refundable:

  • Advance payments and booking amounts
  • Project initiation fees
  • Requirement gathering and consultation fees
  • UI/UX design charges
  • Development and implementation charges
  • Customization charges
  • Testing and deployment charges
  • Setup and onboarding fees
  • Domain registration fees
  • Hosting charges
  • SSL certificate fees
  • SMS, WhatsApp, Email, Voice, or API usage charges
  • Third-party software licenses
  • Government fees and statutory charges
  • Payment gateway processing charges
  • Digital products once delivered

3.3 Eligible Refund Situations

Refunds may be considered only in the following circumstances:

A. Duplicate Payment

If a Client accidentally makes duplicate payments for the same invoice, the excess amount may be refunded after verification.

B. Service Not Commenced

If the Company has not commenced work and no resources have been allocated, the Company may approve a refund after deducting administrative, banking, and payment processing charges.

C. Legal Requirement

Where applicable laws require a refund, the Company shall comply with such legal obligations.


3.4 Partial Refunds

Where a refund is approved, the Company may deduct:

  • Value of work completed
  • Time spent by personnel
  • Project management costs
  • Administrative costs
  • Third-party expenses
  • Taxes, duties, and transaction charges

The balance amount, if any, may be refunded.


3.5 Refund Processing

Approved refunds shall be processed through the original payment method whenever feasible.

Refund processing timelines:

  • Domestic Payments: 7–15 Business Days
  • International Payments: 15–30 Business Days

Actual credit timelines depend upon the banking institution and payment gateway.


4. Contract Termination

4.1 Termination for Convenience

Unless otherwise specified in a written agreement, either party may terminate the contract by providing at least 30 (Thirty) days' prior written notice.

Termination shall not relieve the Client of obligations accrued prior to termination.


4.2 Termination for Cause

The Company may immediately terminate any contract, agreement, or service without notice if:

  • The Client commits a material breach of contract.
  • Payment remains overdue beyond agreed terms.
  • The Client engages in unlawful activities.
  • The Client infringes intellectual property rights.
  • The Client provides false, misleading, or fraudulent information.
  • Continued performance would expose the Company to legal, financial, or reputational risk.

4.3 Effect of Termination

Upon termination:

Client Obligations

The Client shall:

  • Pay all outstanding invoices.
  • Reimburse approved expenses incurred.
  • Return confidential information belonging to the Company.

Company Obligations

Subject to full settlement of dues:

  • The Company may provide completed deliverables that have been paid for.
  • The Company may discontinue access to hosted platforms and services.
  • The Company may archive or delete Client data after the retention period.

4.4 Suspension Prior to Termination

The Company reserves the right to suspend services before termination where:

  • Invoices remain unpaid.
  • Security concerns arise.
  • Abuse of services is detected.
  • Regulatory or legal compliance issues arise.

Suspension shall not waive the Company's right to recover outstanding amounts.


5. Intellectual Property Upon Termination

Unless expressly agreed otherwise in writing:

  • All intellectual property, source code, designs, frameworks, methodologies, tools, templates, and proprietary components developed by the Company shall remain the exclusive property of ZupeeSoft Technologies LLP until full payment is received.
  • Upon termination due to Client default or non-payment, the Company may withhold deliverables until outstanding dues are cleared.

6. Limitation of Liability

To the maximum extent permitted by law:

  • The Company's total liability shall not exceed the amount actually paid by the Client for the specific service giving rise to the claim.
  • The Company shall not be liable for indirect, incidental, consequential, special, punitive, or business interruption damages, including loss of revenue, profits, goodwill, or data.

7. Force Majeure

Neither party shall be liable for failure or delay in performing obligations due to circumstances beyond reasonable control, including:

  • Natural disasters
  • Floods
  • Fires
  • Epidemics or pandemics
  • Government restrictions
  • Internet outages
  • Cybersecurity incidents
  • Power failures
  • Third-party service disruptions

Performance timelines shall be extended for the duration of such events.


8. Governing Law & Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to this Policy shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.
